Latécoère renforce sa liquidité en contractant de nouveaux
prêts PGE et entend lancer une augmentation de capital
avec maintien du droit préférentiel de souscription des
actionnaires dans les prochaines semaines

• Mesures de recapitalisation de la société à hauteur d’un minimum de
292,5 millions d’euros pour renforcer le Groupe

• Les nouveaux accords de Prêt Garanti par l’Etat (PGE) portent sur un
montant total de 130 millions d’euros, garantissant une forte position de
liquidité et permettant l’achèvement du plan de transformation annoncé
en 2020

• La Société projette de lancer une augmentation de capital avec maintien
du droit préférentiel de souscription des actionnaires d’un montant minimum de 162,5 millions d’euros entièrement garantie par son actionnaire de référence Searchlight Capital Partners en vue de d’assurer
sa croissance organique et externe.

Toulouse, le 2 juillet 2021 – Latécoère, partenaire de premier rang des grands constructeurs aéronautiques internationaux, annonce la signature d’un protocole de conciliation avec l’ensemble de ses créanciers financiers actuels et futurs et son actionnaire majoritaire.

Ce protocole conclut les discussions relatives à la recapitalisation complète du Groupe sous l’égide du Comité Interministériel de Restructuration Industrielle (CIRI).

Le protocole est soumis à la réalisation de plusieurs conditions suspensives et notamment son homologation par le Tribunal de commerce de Toulouse.

Aux termes du protocole de conciliation la société Latécoère s’est engagée à procéder à une augmentation de capital, avec maintien du droit préférentiel de souscription, d’un montant minimum de 162,5 millions d’euros, dont le prospectus devra faire l’objet d’une approbation par l’AMF.

Il prévoit également l’obtention par la Société de nouveaux prêts garantis par l’Etat (PGE) à hauteur d’un montant en principal de 130 millions d’euros, le rééchelonnement des échéanciers de remboursement des PGE existants et le report de la maturité des prêts contractés avec la Banque Européenne d’Investissement (BEI) à 2027.

La Société tiendra le marché informé en temps voulu, de la mise en œuvre des différentes opérations prévues au protocole de conciliation, conformément à la réglementation en vigueur.
